Terms of Service
The agreement between you and deltoro.codes
Effective date: September 8, 2026
These Terms of Service (“Terms”) govern your access to and use of the deltoro.codes website and the web development, design, and related services (collectively, the “Services”) provided by Antonio del Toro, an individual doing business as deltoro.codes (“deltoro.codes,” “we,” “our,” or “us”).
By accessing our website or engaging our Services, you (“you,” “your,” or the “Client”) agree to be bound by these Terms. If you do not agree, do not use our website or Services.
1. Services
We provide custom web development, design, e-commerce, SEO, maintenance, and related digital services as described on our website or in a separate written proposal, statement of work, or agreement (an “Engagement”). If there is a conflict between these Terms and a signed Engagement, the signed Engagement controls.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract. If we provide you with account credentials (for example, an admin login), you are responsible for keeping them confidential and for all activity under your account, and you agree to notify us promptly of any unauthorized use.
3. Client Responsibilities
You agree to provide accurate information and to supply timely feedback, content, and materials needed for the Services. You represent that you have the rights to any materials you provide, that they do not infringe the rights of others, and that they comply with applicable law. You are responsible for maintaining your own backups of materials you supply.
4. Fees and Payment
Fees, deposits, and payment schedules are set out in the applicable Engagement or on our website. Unless otherwise stated, invoices are due upon receipt, and overdue amounts may be subject to a reasonable late fee. Non-payment may result in suspension or termination of the Services. All fees are non-refundable except as expressly stated in the Engagement or required by law.
5. Intellectual Property
Upon full payment, you receive ownership of, or a license to (as specified in the Engagement), the final deliverables created for you. We retain ownership of our pre-existing materials, tools, frameworks, and know-how. Third-party components remain subject to their own licenses. Unless you request otherwise in writing, we may display non-confidential work in our portfolio.
6. Acceptable Use
You agree not to use the website or Services to violate any law, infringe the rights of others, transmit malicious code, attempt to gain unauthorized access to any system, or interfere with the operation of the site or Services.
7. Third-Party Services
The Services may rely on or integrate third-party platforms, such as hosting providers, payment processors, and analytics tools. We are not responsible for third-party services, and your use of them may be governed by their own terms and policies.
8. Disclaimers
THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
9. Limitation of Liability
To the maximum extent permitted by law, deltoro.codes will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenues, data, or goodwill, arising out of or relating to these Terms or the Services.
Our total aggregate liability for any and all claims arising out of or relating to these Terms or the Services will not exceed the total amount you paid to us for the Services in the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless deltoro.codes and its owner, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) content or materials you provide; (b) your use of the Services or website; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.
11. Term and Termination
Either party may terminate an Engagement as set out in that Engagement or, if it does not address termination, on written notice. We may suspend or terminate access to the website or Services at any time for conduct that violates these Terms. Fees for work performed through the date of termination remain payable. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
12. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that the exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Services will be the state and federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.
13. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted at deltoro.codes/terms with a revised effective date, and your continued use of the website or Services after the changes take effect constitutes acceptance of the updated Terms.
